1. Scope

These Terms of Use govern access to and use of BankMetrics AI (the “Service”). By using the Service, you agree to these terms.

2. Nature of the Service

The Service provides tools for organizing and analyzing public financial-institution data, peer benchmarking, valuation, AI-assisted interpretation, and presentation automation.

3. No investment advice

Information, calculations, AI-generated content, valuation outputs, and presentations are provided for informational purposes only. They do not constitute investment advice, a solicitation to buy or sell securities, or accounting, tax, or legal advice. Material decisions should be independently reviewed by qualified professionals.

4. Data and AI limitations

Public data, third-party data, and AI-generated content may contain delays, omissions, errors, or interpretive limitations. We seek to maintain a professional standard of quality but do not warrant completeness, accuracy, timeliness, or fitness for a particular purpose.

5. User responsibilities

You must comply with applicable law and third-party rights and may not use the Service for unauthorized access, abusive automation, service disruption, infringement, or other unlawful or improper purposes.

6. Uploaded materials

If you upload PowerPoint templates or other materials, you represent that you have the rights necessary to use those materials. The Service may process them only as reasonably necessary to provide requested functionality.

7. Intellectual property

The Service software, design, brand, proprietary analytical logic, and related intellectual property belong to the operator or applicable rights holders, excluding third-party content identified as such.

8. Accounts and security

You are responsible for safeguarding your account credentials and should promptly report suspected unauthorized use.

9. Paid features

If paid functionality is introduced, pricing, renewal, cancellation, refund, and other commercial terms will be presented at the time of purchase and will form part of these terms.

10. Changes and availability

We may modify, suspend, or discontinue features for maintenance, security, legal compliance, third-party service changes, or other reasonable operational reasons.

11. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect or consequential loss, lost profits, investment losses, data loss, or similar damages arising from use of or inability to use the Service.

12. Governing law and jurisdiction

These terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for disputes arising in connection with the Service.
